GV Lawyers assists East Ventures Capital in a legal due diligence and M&A transaction in relation to Medigo Vietnam. Medigo Vietnam is a Vietnam-based telehealth platform that provides on-demand medicine prescription and delivery services. Medigo is the first company in Vietnam to develop a service to order drugs immediately with a pharmacist consultation. With a pharmaceutical retail market size of about $1.6 billion (BMI figures), this is an extremely attractive opportunity for Medigo and its pharmacy partners.

Indochina Kajima Development Ltd

GV Lawyers advises Indochina Kajima Development Ltd and its subsidiaries in hospitality investment in Phu Yen province and in industrial infrastructure project in Hai Phong City.

Indochina Kajima Development (UK) Company (“IKDC”) is a joint venture development company between Indochina Capital and Kajima Corporation. Indochina Capital has been operating in Vietnam for over 20 years and has implemented 11 projects nationwide with a total project value of $1 billion including development such as The Nam Hai, Hyatt Regency Da Nang, Six Senses Con Dao and Indochina Plaza Hanoi. Kajima Corporation is an over 170 year old Japanese construction company with an active overseas development division with offices in the US, Europe, Australia, and Asia. Kajima Corporation has a total market cap of $7.5 billion.

IKDC has been incorporated and mandated to be a long term and sustainable development company focused on accommodation based product (apartment, villas, hotel, serviced apartments and industrial park) in Vietnam’s core urban locations (Hanoi, Ho Chi Minh, and Da Nang). In December 2022, the transaction was finalized.

Legal advice for a share transfer transaction in a real estate project in Phu Quoc, Kien Giang province, Vietnam.

GV Lawyers advised the sellers in the transaction of selling all equity shares of a project company holding a luxury beach spa & resort project scaling larger than 250 ha in Phu Quoc Island, Kien Giang Province, Vietnam. In this M&A deal, GV Lawyers plays a key role in providing effective legal advice on deal structure, legal review, drafting all transactional documents, and registering the economic concentration.

An undisclosed sum in a Vietnamese billion USD technology corporation on Fx matters

GV Lawyers has acted as sole legal team for the seller in a sale of its shares for an undisclosed sum in a Vietnamese billion USD technology corporation, specializing in digital content and online entertainment, social networking, and e-commerce; the buyers are an investment fund in Korea and a financial corporation focusing on asset management and investment banking in Korea, Singapore and Vietnam. We played the essential role in efficiently assisting the seller in advising on the deal structure, Fx matters, tax regime, drafting – negotiating for sale and purchase shares agreement and the relevant transactional documents. The deal closed in March 2021.

Vessel ALICA

At 10:15, April 26, 2021, after loading 54 containers at Tan Cang Hiep Phuoc port, Ho Chi Minh City and preparing for a trip to Indonesia, the vessel Alica (Mongolian flag) lost its balance and then tilted sharply, dropping 18 containers of goods into the Soai Rap River (“Incident“). The Incident caused the traffic on the Soai Rap river to be interrupted during the rescue operarions, damaged a number of fenders at Tan Cang Hiep Phuoc wharf and caused several damages to the vessel itself.
After being appointed, Global Vietnam Lawyers LLC (“GVL”) represented the ship owner working with the Port Authority of Ho Chi Minh City and related parties, participating in the process of resolving arising problems, including completing the search for a missing container, negotiating and conciliating disputes over rescue costs, and claims for damages. In addition, GVL advises ship owners to carry out the necessary procedures as prescribed, to obtain permission for the ship to sail to a foreign port, to repair damage that the ship owner has not been able to repair in Vietnam, during the time Ho Chi Minh City implemented distancing measures to prevent and control the Covid-19 epidemic.
After 05 months of hard works solving all the related issues, at 17:00 on September 30, 2021, the vessel Alica left the Port of Ho Chi Minh City ending its long stay here after the Incident. According to newly received news, the vessel Alica arrived safely at Sibu Port, Malaysia in the morning of October 4, 2021.

We assisted South Rach Chiec City LLC – an affiliate of Kepple Land (Singapore) in Vietnam in its successful corporate bond issuance of about VND2,000 billion by 02 stages of private placements for the development of Palm City Project (using 30,2 hectares land), in Ho Chi Minh City, Vietnam.

DL Investment

We advised DL Investment on purchasing stocks of a beach resort at Phu Quoc town. GV Lawyers acted as sole legal advisor for the buyer to buy out stake 45% shares in the target company to implement and develop the investment project of tropical resort on the sea.

An administrative lawsuit on copyright infringement

GV Lawyers acted as Vietnam legal advisor for the Respondent in an administrative lawsuit on copyright infringement between a subsidiary of a world-class leader US-based in the design and manufacturing of custom blow molds for the plastics industry and a computer software company specializing in the production of product lifecycle management solution. GV Lawyers assisted the Respondent in (i) providing legal advice, (ii) joining the US Legal Team in working out defenses and verifying evidence, (iii) Representing in the mediation at Court.

Lineage Logistics Holdings, LLC

GV Lawyers has acted as the one of the legal advisors for Lineage Logistics Holdings, LLC (“Lineage”), the world’s largest and most innovative provider of temperature-controlled logistics solutions (see the ranking here) in its acquisition of Emergent Cold Storage (“Emergent”), the world top 25 companies specializing in providing cold chain services (https://www.gcca.org/about/resources/about-industry/technical-publications/surveys-market-research/iarw-global-top-25, accessed on 29 October 2019). It is reported that Lineage could be paying $900 million for the deal according to the press release of Lineage. The deal is closed on 1 June 2020.
