TIỂU SỬ

 Ông Trần Thanh Tùng bắt đầu thực ngành nghề luật trước khi tốt nghiệp Trường Đại Học Luật Thành phố Hồ Chí Minh năm 2003 và đã có gần 20 năm kinh nghiệm hành nghề với tư cách luật sư chuyên nghiệp, trong đó có 9 năm là Luật sư Thành viên của Công ty Luật Phước và Các Cộng sự (Phuoc & Partners – đã giải thể vào tháng 8 năm 2019).

Trước khi gia nhập GV Lawyers, Ông Tùng có hơn 9 năm thực hành nghề luật trong vị trí Luật sư Thành viên tại Công ty Luật Phuoc & Partners cho đến khi Phuoc & Partners giải thể vào tháng 8 năm 2019. Lĩnh vực hành nghề chính của ông Tùng bao gồm giải quyết tranh chấp và và tư vấn trong nhiều lĩnh vực, đặc biệt là Luật công ty và Luật Đầu tư. Ông Tùng đã tham gia vào rất nhiều giao dịch liên quan đến tái cấu trúc doanh nghiệp, mua bán và sáp nhập, đầu tư, ngân hàng và bất động sản. Các kiến thức trong lĩnh vực tài chính và ngân hàng tạo lợi thế cho Ông Tùng trong việc đáp ứng nhu cầu của khách hàng cả về mặt kinh doanh và pháp lý. Việc hoàn tất chương trình Thạc sỹ Luật học về Thương Mại còn giúp Ông Tùng ứng dụng những hiểu biết pháp lý chuyên sâu để ứng dụng cho những nhu cầu đa dạng của khách hàng.

Ông Tùng đã tham gia vào rất nhiều hội thảo về đầu tư và kinh doanh cũng như được mời tham gia góp ý kiến, phản biện trong các dự thảo văn bản pháp luật từ các cơ quan liên quan. Ông Tùng còn là một cây bút sắc sảo với nhiều bài báo đăng trên Thời Báo Kinh Tế Sài Gòn, Tạp chí Doanh nhân và Pháp luật, Nhịp cầu Đầu tư, Báo Đầu tư và nhiều báo khác. Ông Tùng cũng đã được mời giảng dạy tại Học viện Tư pháp từ năm 2009 đến nay và một số trường đại học tại Thành phố Hồ Chí Minh về các lĩnh vực chuyên môn của ông.

BIOGRAPHY

Mr. Tung began working in the legal sphere before his graduation from the Ho Chi Minh City Law University in 2003 and he has now has gained about 20 years of experience as a professional legal practitioner.

Prior to joining GV Lawyers in 2006, Mr Tung practiced law at Phuoc & Partners as its Partner until the dissolution of Phuoc & Partners in August 2019. He is well qualified to provide legal advice on a wide range of legal issues with his particular areas of expertise being Corporate and Investment Law. He has handled a numbers of transactions related to corporate structuring, mergers and acquisitions, banking and real estate industries. His knowledge in this field of law is supplemented by his Bachelor’s Degree in Finance and Banking. Mr. Tung thus has the capacity to connect legal and economic knowledge in a way that is highly satisfactory to the needs of clients. His recent graduation from the Master of Laws program has only heightened his considerable legal skills.

Mr. Tung has spoken at numerous professional seminars on investment and business law and has been invited to give professional opinion for some bills from the governmental agencies. He is also a keen reporter with many articles published in The Saigon Times (Thoi Bao Kinh Te Sai Gon), The Entrepreneur & Law Review, (Doanh nhan va Phap Luat), The Business Review (Nhip Cau Dau Tu), Vietnam Investment Review (Bao Dau Tu) and other newspapers. He also has been invited to give lectures at the Judicial Academy since 2009 to date and some universities and colleges in Ho Chi Minh City on his specialty areas of practice.

TYPICAL TRANSACTIONS

  • Member of consulting group for a joint venture project (including project establishment, company establishment and post-licensing issues) of a new urban area in Nhon Trach, Dong Nai Province (between a stated-owned corporation and the largest foreign investment fund group) with a total capital of USD400 million.
  • Leader of legal consultancy team for the implementation of the merger between two leading foreign-invested enterprises in Vietnam, specializing in cement production. The merger is part of the global deal transaction and the portion of transaction value in Vietnam reaches nearly USD600 million.
  • Member of consulting group for the real estate acquisition & merger project to develop a new urban area in Tan Phu district, Ho Chi Minh city with a total capital of up to USD165 million (including such tasks as capital structure, due diligence, share trading, preparation of project documentation, and post-licensing procedures) between domestic real estate securities companies and an investor from Malaysia.
  • Member of advisory lawyers providing a professional consultancy package on corporate restructuring and split and investment procedures for a joint venture between a foreign investment fund and Vietnamese partners, which develops a mixed-use project of urban area and social housing (about 4200 houses) with the area scale of over 43hectares in Thu Thiem New Urban Area, Ho Chi Minh City.
  • Member of Vietnamese advisory lawyers for the Evergreen Project of the Serrano Holdings Limited with regard to its divesture in Vietnam and the IPO of “40R” stock index at the Singaporean Stock Exchange.
  • Leader of legal consultancy team with a real estate group in Singapore on the transfer of a 35-hectare real estate project in Phu Huu Ward, District 9, Ho Chi Minh City to an European investment fund.
  • Leader of legal consultancy team on the transfer of the printer business between a Korean corporation and a US corporation. The transfer is part of the global deal transaction worth about USD 1 billion.
  • Leader of legal consultancy team for a global media group on the capital purchase in a media company in Ho Chi Minh City. The deal is worth about USD 25 million.
  • Member of legal consultancy team for the Samsung Group on the legal issues related to the Group’s subsidiaries in Vietnam.
  • Member of legal consultancy team for a textile and apparel group in Vietnam on the legal issues related to the merger and acquisition activities of the group’s subsidiaries.
